Xaro Terms of Use
Last updated:
These terms govern your use of Xaro — Xaro’s websites, applications, and related services, including its sign-in pages and the shipment-tracking pages a company publishes through it. By using Xaro you agree to them. If you use Xaro on behalf of a company, you represent that you are authorized to bind it, and “you” includes that company. “We” and “us” mean Xaro Inc, which operates the Xaro platform.
If a company has a separate written agreement with Xaro Inc for Xaro, that agreement controls where it conflicts with these terms. How we handle information is described in the Privacy Policy, which is part of these terms.
1. The service
Xaro is a transportation management platform for trucking companies: loads and stops, dispatch, drivers and carriers, equipment, documents, settlements and payments, a fleet map, and public shipment tracking. Features may be added, changed or removed as the platform develops; we will keep these terms and the Privacy Policy current with what the service does.
2. Accounts and sign-in
- Each company that uses Xaro has one Company Account. You must be at least 18 and using the service for that company’s business.
- Company Account sign-in is by a one-time code sent to your email address or by a passkey on your device. Keep that email account and those devices secure; whoever controls them can sign in as you. Tell us and your company at once if you believe your account has been used without your authority.
- A company’s Company Account can see and change all of that company’s records in Xaro. You are responsible for what is done under your account.
- A Company Account may give the company’s drivers access to the Xaro Driver app, with a username and password it sets for each driver, and may reset that password or switch the access off at any time. Driver App credentials are separate from the Company Account’s sign-in and open only the Driver app, not the Company Account.
- The company decides who receives Driver App access and is responsible for the drivers it authorizes and for what is done with the access it provides. Driver App credentials are for the one driver they were issued to: do not share them or use someone else’s, and tell your company at once if you believe yours have been used by someone else.
3. Your company’s data
- The records a company enters or uploads — loads, drivers, carriers, documents, settlements and the rest — are the company’s. You give us the right to host, process, back up and display them as needed to provide the service, and for no other purpose.
- You are responsible for the accuracy of what you enter and for having the right to enter it: information about drivers, carrier and broker contacts and other people must be collected and used lawfully, and you must have whatever consent the law requires before sending them text messages through Xaro.
- Uploaded documents may be read by an AI service to suggest values, as described in section 5. Do not upload material you have no right to share for that purpose.
- You may ask us for a copy of your company’s data; write to us and we will arrange it.
4. Acceptable use
You will not:
- use Xaro for anything unlawful, or to store or send unlawful, infringing or harmful material;
- try to reach records, accounts or organizations that are not yours, or circumvent a permission, rate limit or security control;
- scrape, bulk-download, resell or re-host the service or its content, including map and address content, or use the public tracking pages for anything but looking up a shipment you have a legitimate interest in;
- interfere with the service’s operation, or reverse-engineer it except where the law allows regardless of this term;
- share sign-in credentials, including Driver App credentials, with anyone they were not issued to;
- misrepresent yourself or your authority.
We may suspend or limit access — to a Company Account or to Driver App access — that we reasonably believe breaks these terms or puts the service or its users at risk.
5. Third-party services included in the platform
Google Maps. Xaro includes Google Maps features and content: the fleet map, the placing of facility addresses, route and arrival estimates, and address suggestions on the load form. Use of Google Maps features and content is subject to the then-current versions of the Google Maps End User Additional Terms of Service at https://maps.google.com/help/terms_maps/ and the Google Privacy Policy at https://policies.google.com/privacy. By using those features you agree to those terms. If your use of them breaks Google’s terms, we may suspend or end your access to the map and address features. Map, route, time-zone and address results come from Google and may be incomplete or out of date.
Telematics. Vehicle positions come from your company’s own Samsara account, which your company connects and which is governed by Samsara’s terms. We show what that account reports and cannot correct it.
Messages and email. Text messages to drivers are delivered through Twilio and sign-in codes through Resend. Delivery depends on those carriers and on the recipient’s device and network, and is not guaranteed.
AI-assisted reading of documents. Rate confirmations and lumper receipts you upload can be read by an AI service provided by Anthropic, which returns suggested values. Those values are suggestions: a person confirms them before they take effect, and you remain responsible for checking them against the document. The service can misread a document or fail to read it.
Base maps. A load’s overview map is drawn on CARTO and OpenStreetMap map tiles under their attribution.
6. Estimates, maps and compliance aids
Arrival estimates, planned routes and distances are estimates for dispatch planning. They are computed for a car-class route and take no account of a vehicle’s height, weight, hazardous cargo or road restrictions; do not use them as truck routing or navigation, and never in place of a driver’s judgment. Expiry dates, reminders and notices in Xaro are aids to your own compliance work, not a compliance service, and their absence is not an assurance that nothing is due.
7. Fees
Any fees for Xaro are as agreed in writing between your company and Xaro Inc. Nothing on this page sets a price.
8. Availability and changes
We work to keep Xaro available, but it may be interrupted for maintenance, by the failure of a provider it depends on, or for reasons outside our control, and we do not promise uninterrupted or error-free operation. We may change or discontinue features; where a change materially reduces what your company relies on, we will try to tell you before it takes effect.
9. Disclaimer of warranties
To the fullest extent the law allows, Xaro is provided “as is” and “as available”, without warranties of any kind, express or implied, including of merchantability, fitness for a particular purpose, accuracy and non-infringement. Content from third-party services — maps, routes, addresses, vehicle positions, AI-read values, message delivery — is provided by those services and we make no warranty about it.
10. Limitation of liability
To the fullest extent the law allows, Xaro Inc will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, freight, data or goodwill, arising from or related to Xaro, however caused. To the same extent, Xaro Inc’s total liability for all claims arising from or related to Xaro in any twelve-month period will not exceed the amounts your company paid Xaro Inc for Xaro in that period. Some laws do not allow these limits; where they apply, our liability is limited to the smallest extent the law permits.
11. Your responsibility for your use
You will defend and hold Xaro Inc harmless from claims, losses and expenses arising from your company’s freight operations, from information your company enters or messages it sends through Xaro, or from a breach of these terms by you, the people using your company’s account or the drivers it gives Driver App access.
12. Suspension and ending use
Your company may stop using Xaro at any time by telling us. We may suspend or end access for a material breach of these terms, for a security risk, or if the service is discontinued, and will try to give notice where practical. On ending, your company may ask for a copy of its data as described in section 3, and sections 3, 9, 10, 11, 13 and 14 continue to apply.
13. Governing law
These terms are governed by the laws of the United States and of the state in which Xaro Inc has its principal place of business, without regard to conflict-of-law rules, and disputes will be brought in the courts located there, unless a written agreement between your company and Xaro Inc says otherwise.
14. General
These terms and the Privacy Policy are the whole agreement between you and Xaro Inc about Xaro unless a written agreement says otherwise. If a part of them cannot be enforced, the rest still applies. Our not enforcing a term is not a waiver of it. You may not assign these terms without our consent; we may assign them as part of a reorganization or transfer of the platform.
15. Changes to these terms
When these terms change, we post the new version here with a new “last updated” date. Continuing to use Xaro after a change means you accept it; if you do not, stop using the service and tell us.
16. Text messages (SMS/MMS)
Trucking companies that use Xaro can send operational text messages (SMS/MMS) through it, related to loads, dispatch, documents such as a bill of lading (BOL) or proof of delivery (POD), account activity and support — for example, load details for a driver or carrier, a request for a load’s paperwork, or an account or support notice. Messaging through Xaro does not send marketing messages.
- Senders. A trucking company that sends messages through Xaro is their sender, and Xaro is the platform that carries them. A company’s messages identify it by name — for example, “[Company Name] via Xaro:”. Xaro Inc is the sender only of messages Xaro sends itself, such as account and support communications.
- Consent. A person joins in two steps, to hear from a specific company: they give verbal consent when an authorized representative of that company reads them Xaro’s approved disclosure naming it and they answer yes themselves, and they then reply YES to the confirmation text sent to them through Xaro. Operational messages begin only after both steps are complete. Participation is optional, and consent is not a condition of purchasing Xaro or of creating or using an account.
- Asking for consent. A customer whose representative asks a person for consent must use Xaro’s approved disclosure, name the customer as the sender, and let the person answer for themselves. A representative may never give or record consent on someone else’s behalf.
- Frequency. Message frequency varies.
- Rates. Message and data rates may apply.
- Opting out. Reply STOP to opt out. After STOP, no further messages are sent unless the person opts in again through both steps.
- Help. Reply HELP for help, or email support@xaro.co.
- Delivery. Mobile carriers are not liable for delayed or undelivered messages.
- Privacy. Mobile numbers and SMS consent information are handled as the Privacy Policy describes and are never sold or shared for marketing or promotional purposes.
